This Annual Resale License Agreement (“Agreement”) is entered into on this date between the undersigned (“Licensor”) and the undersigned (“Licensee”).

1. Resale License. Licensor grants Licensee the monthly Vested Income Partner (“VIP”) status within the Clubshop Global Partner System fe-Commerce, along with an annual resale license. The licensee is authorized to enjoy the benefits of the VIP status, including passive earnings and override commissions, as outlined in the VIP Business Plan, provided that their Clubshop GPS monthly fee is promptly paid.
2. Annual Fee. Licensee agrees to pay an annual license fee of $100 to the Licensor. This fee covers the annual renewal of the resale license. The initial payment is due upon execution of this Agreement, and subsequent annual fees will be automatically deducted from the Licensee’s monthly commission after one year, provided that the Licensee is earning at least $300 at that time.
3. Operating under the Clubshop Golden Rule. The licensee agrees to conduct all activities related to fe-Commerce in accordance with the “Clubshop Golden Rule” and ethical and correct principles. The Clubshop Golden Rule emphasizes the importance of treating others as one would like to be treated, promoting positive and ethical relationships in every interaction.
4. Truthful Representation. The licensee commits to honestly represent Clubshop fe-Commerce, avoiding statements or promises that distort reality or have purposes outside the genuine development of fe-Commerce.
5. Termination. Licensor reserves the right to terminate this Agreement in case of violation of the terms and conditions by Licensee. Termination will result in the immediate cessation of the annual resale license and related benefits.
6. Entire Agreement. This Agreement represents the complete agreement between the parties and supersedes all prior or contemporaneous agreements, whether written or oral.
